3. Compensation

6. Indemnification

6.1. The Manager shall indemnify and hold harmless the Owner from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to the Manager's negligence or breach of this Agreement.

7. Governing Law

9. Amendments
