Introduction

This Copyright Transfer Agreement (the "Agreement") is made and entered into as of [DATE] by and between [NAME OF ASSIGNOR], with a principal place of business at [ADDRESS] (the "Assignor"), and [NAME OF ASSIGNEE], with a principal place of business at [ADDRESS] (the "Assignee").

Definitions

For purposes of this Agreement, the following terms shall have the meanings set forth below:

  • "Copyright" means all rights, title, and interest in and to the Work, including, without limitation, the exclusive rights to reproduce, distribute, perform, display, create derivative works, and to authorize others to do so, as provided under the Copyright Act, 2001 of Kenya.

  • "Work" means the [DESCRIBE THE WORK, E.G., SOFTWARE, MUSIC COMPOSITION, LITERARY WORK].

  • "Assignor" means the individual or entity that owns the Copyright in the Work.

  • "Assignee" means the individual or entity to whom the Copyright in the Work is being assigned.

Grant of Copyright

The Assignor hereby irrevocably assigns to the Assignee all of the Assignor's right, title, and interest in and to the Copyright in the Work, including, without limitation, the exclusive rights to reproduce, distribute, perform, display, create derivative works, and to authorize others to do so, as provided under the Copyright Act, 2001 of Kenya.

Ownership and Rights

Upon the execution of this Agreement, the Assignee shall become the sole and exclusive owner of the Copyright in the Work. The Assignor hereby agrees to cooperate with the Assignee in any and all reasonable efforts to perfect the Assignee's ownership of the Copyright in the Work.

Representations and Warranties

The Assignor represents and warrants to the Assignee that:

  • The Assignor is the sole and exclusive owner of the Copyright in the Work.

  • The Assignor has the full right, power, and authority to enter into this Agreement and to grant the rights herein granted.

  • The Work is original and does not infringe upon the rights of any third party.

  • The Work is free and clear of any liens, encumbrances, or other third-party claims.

Indemnification

The Assignor agrees to indemnify, defend, and hold harmless the Assignee from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to any breach of the Assignor's representations and warranties contained herein.

Term and Termination

This Agreement shall be effective as of the date first written above and shall continue in perpetuity unless terminated as provided herein. This Agreement may be terminated by either party upon written notice to the other party if the other party breaches any material provision of this Agreement and fails to cure such breach within thirty (30) days after written notice of such breach.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the Republic of Kenya. Any dispute arising out of or relating to this Agreement shall be settled by binding arbitration in Nairobi, Kenya, in accordance with the Arbitration Act, 1995 of Kenya.

Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.

Notices

All notices and other communications hereunder shall be in writing and shall be deemed to have been duly given when delivered personally, sent by certified or registered mail, return receipt requested, or sent by overnight courier service, addressed as follows:

Severability

If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck from this Agreement and the remaining provisions shall remain in full force and effect.

Waiver

No waiver of any breach of any provision of this Agreement shall constitute a waiver of any other or subsequent breach.

Assignment

This Agreement may not be assigned by either party without the prior written consent of the other party.

Confidentiality

The Assignor agrees to hold confidential all information relating to the Assignee's business and operations that is disclosed to the Assignor pursuant to this Agreement.

Miscellaneous

This Agreement may be executed in one or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
